1.3 If you do not agree to these Terms, you must not access or use the Platform.

3. Licence Grant
3.1 Subject to payment of the applicable fees and your compliance with these Terms, Active Informatics grants you a non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform for your internal business purposes during the Term.
3.2 The Licence is granted for the number of Authorised Users and/or the subscription tier you have purchased. You are responsible for all activity under your account and for keeping login credentials secure and confidential.
4. Data, Intellectual Property and Restrictions
4.1 Public Sector Data. The Platform incorporates public sector information licensed under the Open Government Licence v3.0. Such information is used in accordance with that licence, which requires attribution. You acknowledge the following attribution: “Contains public sector information licensed under the Open Government Licence v3.0.”
4.2 Active Informatics Data and IP. All Active Informatics Data, together with the Platform software, design, structure, databases, methodologies and all related intellectual property rights, are and remain the exclusive property of Active Informatics (or its licensors). Nothing in these Terms transfers any ownership to you.
4.3 Prohibition on extraction. Except for Public Sector Data to the extent permitted by the OGL v3.0, you must not download, copy, save, extract, scrape, reproduce, republish, distribute, sell, or otherwise remove any Active Informatics Data or other Platform content outside the Platform, by any means, without the prior written consent of Active Informatics. Standard reporting and export features provided within the Platform may be used only for your internal business purposes and remain subject to this restriction.
4.4 No reverse engineering. You must not reverse engineer, decompile, disassemble, or attempt to derive the source code, data models, or underlying methodologies of the Platform, nor create derivative works from it.
5. Acceptable Use
5.1 You must not use the Platform: (a) in breach of any applicable law or the OGL v3.0; (b) to gain unauthorised access to any systems or data; (c) to transmit malware or harmful code; (d) in any way that damages, disables or impairs the Platform; or (e) to build a competing product or service.
5.2 You must not share, resell, rent, or provide access to the Platform to any third party that is not an Authorised User without our prior written consent.
6. Fees and Payment
6.1 You agree to pay the licence fees applicable to your subscription as set out in your order or invoice (“Fees”).
6.2 Unless otherwise agreed in writing, Fees are payable annually in advance, are exclusive of VAT, and are non-refundable.
6.3 We may suspend access where Fees are overdue, following written notice.
7. Term, Renewal and Termination
7.1 Initial Term. The Licence is granted for a fixed period of twelve (12) months from the subscription start date (the “Term”).
7.2 Automatic renewal. Unless terminated in accordance with clause 7.3, the agreement will automatically extend for successive further periods of twelve (12) months at the price then in force.
7.3 Termination for convenience / non-renewal. Either party may prevent renewal or terminate the agreement by giving written notice of at least ninety (90) days before the relevant Term end date. Notice by email is permitted and must be sent to finance@activeinformatics.com (for notices to us) or to the Customer’s registered contact email (for notices to you). If valid notice is not served within this period, the agreement will automatically extend for a further twelve (12) months at the current list price at the time of extension.
7.4 Termination for cause. Either party may terminate immediately on written notice if the other party commits a material breach that is not remedied within 30 days of written notice, or becomes insolvent.
7.5 Effect of termination. On termination or expiry, your right to access the Platform ceases immediately, and you must cease all use of, and destroy any permitted copies of, Active Informatics Data. Accrued rights and clauses intended to survive (including 4, 8, 10, 11) continue in force.
7.6 Loss of public sector data rights. The Platform relies on public sector information licensed under the Open Government Licence v3.0 (OGL v3.0) (as described in clause 4.1). If, for any reason beyond our reasonable control, that information or our (or our licensors’) right to use it within the Platform is restricted, withdrawn, suspended, revoked, or otherwise becomes unavailable, then:
(a) we may terminate this agreement with immediate effect on written notice to you (notice by email is permitted), and clause 7.2 (automatic renewal) shall not apply — there will be no automatic extension and the agreement will not continue to the contract end date;
(b) alternatively, we may suspend or terminate only the affected functionality of the Platform where it is reasonable to do so; and
(c) for the avoidance of doubt, no refunds, credits or compensation of any kind will be provided in respect of any such restriction, suspension, or immediate termination, including in respect of any unexpired portion of the Term.
7.7 The operation of clause 7.6 does not give rise to any liability on the part of Active Informatics, and clauses 10 and 11 apply.
8. Confidentiality
8.1 Each party shall keep confidential all non-public information disclosed by the other and use it only for the purposes of this agreement. Active Informatics Data is deemed our Confidential Information.
9. Availability and Support
9.1 We will use reasonable endeavours to make the Platform available but do not guarantee uninterrupted or error-free operation. We may carry out maintenance and may update or modify features from time to time.
9.2 Support is provided as described in your order or at helpdesk@activeinformatics.com .
10. Warranties and Disclaimers
10.1 The Platform and all data are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties.
10.2 Analytics and insights are provided for informational purposes only and do not constitute professional, legal, financial, or investment advice. You are responsible for any decisions made using the Platform.
10.3 Data accuracy and decisions. While we use reasonable care in compiling the Platform, you acknowledge that the data and analytics are derived from third-party and public sector sources and from automated processing, and may contain errors, omissions, or inaccuracies, including inaccuracies that are not apparent and that may only be identified at a later date. The Platform is provided for informational and analytical purposes only. You are solely responsible for any decision, action, or omission you make in reliance on the Platform, and Active Informatics accepts no liability whatsoever for any such decision or its consequences, including where inaccuracies in the data and/or analytics are subsequently discovered. This exclusion applies regardless of when the inaccuracy arose or was identified and survives termination or expiry of this agreement.
10.4 Correction. Where we become aware of a material inaccuracy in the Active Informatics Data or analytics, we will use reasonable endeavours to investigate and correct it within a reasonable time. Such correction is your sole and exclusive remedy in respect of any inaccuracy, and the carrying out (or not) of any correction does not give rise to any liability on our part, nor any right to a refund, credit, or compensation.
11. Limitation of Liability
11.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
11.2 Subject to clause 11.1, neither party is liable for indirect, special or consequential loss, loss of profits, revenue, data, or anticipated savings.
11.3 Subject to clause 11.1, our total aggregate liability arising out of or in connection with this agreement shall not exceed the total Fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
11.4 For the avoidance of doubt and subject only to clause 11.1, Active Informatics shall have no liability of any kind (whether in contract, tort (including negligence), misrepresentation, or otherwise) for any loss or damage arising from reliance on the accuracy, completeness, or fitness for purpose of the data or analytics provided through the Platform, including any decisions made on the basis of them.
12. Data Protection
12.1 Each party shall comply with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf, we shall do so in accordance with our [Data Processing Agreement / Privacy Policy].
13. Suspension
13.1 We may suspend access immediately where we reasonably believe there is a security risk, unlawful use, breach of clause 4 or 5, or non-payment.
14. Changes to these Terms
14.1 We may update these Terms from time to time. Material changes will be notified to you, and continued use of the Platform after the effective date constitutes acceptance.
15. General
15.1 Entire agreement. These Terms, together with your order, constitute the entire agreement between the parties. 15.2 Assignment. You may not assign or transfer your rights without our prior written consent. 15.3 No waiver / Severance. Failure to enforce a term is not a waiver; if any provision is held invalid, the remainder continues in effect. 15.4 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
16. Governing Law and Jurisdiction
16.1 These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
